cdPlus Corporate Services offers company secretarial services provided by a team of qualified and experienced lawyers not only to ensure compliance with the statutory obligations of a company secretary, but to implement prevailing corporate governance best practices to support the business’ risk management framework and encourage institutional investment.

Our company secretarial services include:

  • personally acting as the nominated company secretary for your company;

  • maintaining all statutory registers in compliance with the Corporations Act;

  • liaising with ASIC, ASX and the company’s share registry as required;

  • coordinating all ASX and ASIC notifications as required;

  • coordinating the lodgement of ASX announcements as required;

  • coordinating and attending all board and shareholder meetings and ensuring such meetings are conducted in compliance with the constitution, Corporations Act and ASX Listing Rules (if applicable);

  • preparing minutes of board and shareholder meetings;

  • coordinating all issues of securities and maintenance of appropriate paperwork associated with share capital;

  • administration of employee incentive plan documentation;

  • liaising with auditors and company accountants in respect of accounting and annual reporting obligations;

  • preparing corporate governance policies and annual corporate governance statement and ASX filings (if applicable); and 

  • providing advice on, and ensuring compliance with, relevant corporate governance and risk management best practices.

cdPlus Corporate Services can also add significant value by supporting your Board and legal team during an IPO by managing various work streams which are particular to the ASX listing process, including preparation of corporate governance documentation and Prospectus disclosures, ASX listing application, coordinating board and shareholder approvals and preparing and coordinating escrow documentation and various pre-quotation disclosure documents.

Executive Director, FGIA FCG (CS, CGP)

As a practising lawyer and Director of Coghlan Duffy Lawyers, Charly has comprehensive corporate and commercial legal experience across a wide range of industries, including technology, wagering, mining, financial services and retail industries, with a particular focus on equity capital markets and public company matters.  With this experience, Charly works closely with each client as company secretary to develop a holistic understanding of the client’s business objectives, priorities and risk appetite to enable her to provide pro-active, effective and commercially efficient corporate governance and legal services. 

Having worked with clients from ASX 100 companies and national retail chains to family-operated businesses and start-ups, Charly provides practical corporate governance advice that considers the client’s broader commercial objectives and relevant legal issues. As a trusted advisor to the Board of Directors of each client, Charly enjoys working closely with each Board to drive the success of each business.

Charly has completed the Graduate Diploma in Applied Corporate Governance at the Governance Institute of Australia and is a Fellow Member of Governance Institute of Australia and Chartered Governance Institute.

CARLie Hodges

Executive Director, FGIA FCG (CS, CGP)

Carlie is a practising corporate and commercial lawyer with experience with clients ranging from newly incorporated start-ups through to ASX-listed companies. With a Certificate in Corporate Governance Practice from the Governance Institute of Australia, Carlie provides our clients with corporate governance and company secretarial advice with due consideration of the associated legal issues.

Carlie has experience working with a broad range of clients in areas, including health and medical practice, pharmaceutical and environmental laboratory services, telecommunications, retail and technology.  Carlie enjoys working closely with each Board to ensure all corporate governance, compliance and legal issues are addressed and supporting the Directors in driving the success of the business.

Associate Director

Victoria is a corporate and commercial lawyer.

She has previously worked in the financial services industry, and has experience with corporate tax, research & development and international trade matters.

Governance Advisor

Harry is a corporate and commercial lawyer with a depth of experience in the areas of equity capital markets, and mergers and acquisitions.

Harry has worked with companies of all sizes, from pre-IPO through ASX listing and beyond, and advised on a wide range of governance and policy matters.

Harry brings a legal focus to company secretarial work, and an understanding of the complex issues faced by boards in both the private and public space.
